Subscription Terms


This terms of service (the “Terms of Service”) describes the terms pursuant to which Medicalbasket.com offers you access to our Medicalbasket.com Stores service, and all related services, applications and tools (together the “Service”). If you reside in the United States you are contracting with Medicalbasket.com, LLC. If you reside outside of the United States, you are contracting with one of our international Medicalbasket.com companies.  In this Terms of Service we will refer to Medicalbasket.com as “we,” “Medicalbasket.com,” or “us.” By signing up for a Medicalbasket.com Store, you agree to all terms in this Terms of Service.

 

  1. Medicalbasket.com Stores

There are 3 stores (“Stores”) subscription levels (or types):

  • Basic Store
  • Standard Store
  • Premium Store

NOTE: Your use of these Services are subject to our User Agreement and all applicable terms or policies on the Medicalbasket.com site (including any selling limits and listing policies)

  1. Subscriptions

There are 2 Stores subscription durations:

  • Monthly subscription (subscription with a one month term that automatically renews monthly)
  • Yearly subscription (subscription with a one year term that automatically renews yearly)

For Stores subscriptions, “calendar month” as used in these terms shall mean the first of the month through the last day of the month. “Invoice month” as used in these terms shall mean the billable days included on a seller’s invoice (e.g. April 1 through April 30 or April 16 through May 15). “Subscription Start Date” shall mean the date your Stores subscription starts. “Mandatory Subscription Period” shall mean the period between the Subscription Start Date and the end of the first full calendar month of your current subscription.

All Stores subscription fees are included on your monthly invoice. Free-insertion-fee listings and other benefits described on the Stores page are allocated to each Stores subscriber on a calendar month basis. Your unused free-insertion-fee listings and other benefits don’t carry over to the next calendar month and are reset at the beginning of each calendar month.

When you sign up for a yearly or monthly subscription for the first time:

  • Your Stores benefits start immediately. You receive your entire free-insertion-fee listing allotment for the calendar month when you sign up, regardless of when you sign up. (For example, if you sign up for a Stores subscription on May 22, you receive your entire free-insertion-fee listing allotment for May immediately.)
  • Your first Medicalbasket.com Stores invoice includes:
    • The prorated subscription fee for the number of days from your Subscription Start Date to the first date of your next full invoice month (the “Prorated Period”) and
    • The subscription fee for the next full invoice month (the “First Full Invoice Month”). You’re billed monthly thereafter.

Yearly subscription examples

If you receive your invoices at the beginning of the month:

May 22, 2013

You sign up for a yearly Stores subscription. Your Stores benefits start immediately, including your free-insertion-fee listing allotment for the month of May.

June 1, 2013

On your first Stores bill, you’re billed for:

  • The Prorated Period (May 22 through May 31)
  • The First Full Invoice Month (June 1 through June 30)

Your free-insertion-fee listing allotment is reset for the calendar month of June. The unused free-insertion-fee listing allotment from May is not carried over to June.

June 1, 2014

Your Stores subscription will automatically renew for another year unless you cancel it. (Depending on when you cancel, an early termination fee may apply.)

If you receive your invoices mid-month:

May 10, 2013

You sign up for a yearly Stores subscription. Your Stores benefits start immediately, including your free-insertion-fee listing allotment for the month of May.

May 16, 2013

On your first Stores bill, you’re billed for:

  • The Prorated Period (May 10 through  May 15)
  • The First Full Invoice Month (May 16 through  June 15)

June 1, 2013

Your free-insertion-fee listing allotment is reset for the calendar month of June. The unused free-insertion-fee listing allotment from May is not carried over to June.

June 1, 2014

Your Stores subscription will automatically renew for another year unless you cancel it. (Depending on when you cancel, an early termination fee may apply.)

If you receive your invoices at the beginning of the month:

May 22, 2013

You sign up for a monthly Stores subscription. Your Stores benefits start immediately, including your free-insertion-fee listing allotment for the month of May.

June 1, 2013

On your first Stores bill, you’re billed for:

  • The Prorated Period (May 22 through  May 31)
  • The First Full Invoice Month (June 1 through  June 30)

Your free-insertion-fee listing allotment is reset for the calendar month of June. The unused free-insertion-fee listing allotment from May is not carried over to June.

July 1, 2013

Your subscription will automatically renew for another month unless you cancel it.

If you receive your invoices mid-month:

May 10, 2013

You sign up for a monthly Stores subscription. Your Stores benefits start immediately, including your free-insertion-fee listing allotment for the month of May.

May 15, 2013

On your first Stores bill, you’re billed for:

  • The Prorated Period (May 10 through May 15)
  • The First Full Invoice Month (May 16 through June 15)

Your free-insertion-fee listing allotment is reset for the calendar month of June. The unused free-insertion-fee listing allotment from May is not carried over to June.

July 1, 2013

Your subscription will automatically renew for another month unless you cancel it.

 

  1. Subscription Renewals

Your Stores subscription is automatically renewed by the length of your subscription term, unless you cancel your subscription.  A monthly subscription is automatically renewed each month until you cancel it. Likewise, a yearly subscription is automatically renewed each year until you cancel it. Such automatic renewal is continuous, and you will be billed for each continuous subscription term at the applicable rates, which are subject to change.  If you have a yearly subscription, we’ll contact you at least 15 days prior to the end of the term of your subscription via email or a message sent to My Medicalbasket.com Store to remind you that the term of your subscription will automatically renew.

  1. Canceling your subscription

When canceling your Stores subscription:

  • If you have a monthly subscription and you cancel your Store during the Mandatory Subscription Period:
    • You’re billed the current Stores subscription fees for the Mandatory Subscription Period.
    • You receive the current Stores subscription benefits for the Mandatory Subscription Period.
    • After the Mandatory Subscription Period, you pay standard fees for any new listings.
    • If you have a monthly subscription and you cancel your Store after the Mandatory Subscription Period:
      • You’re billed the current Stores subscription fees for the entire calendar month during which you cancel.
      • You receive Stores benefits corresponding to the current subscription until the end of the calendar month during which you cancel.
      • Starting the next calendar month, you pay standard fees for any new listings.
    • If you have a yearly subscription and you cancel your Store prior to the last calendar month of your subscription term:
      • You’re charged an early termination fee. In addition, you’re billed at the current subscription fee rate for the calendar month during which you canceled.
      • You receive Stores benefits corresponding to the current subscription until the end of the calendar month during which you canceled.
      •  Starting the next calendar month, you pay standard fees for any new listings.
    • If you have a yearly subscription and you cancel your Store in the last calendar month of your subscription term:
      • You’re billed at the current subscription fee rate for the calendar month during which you canceled.
      • You receive Stores benefits corresponding to the current subscription until the end of the calendar month during which you canceled.
      •  Starting the next calendar month, you pay standard fees for any new listings.
    • Fees (excluding subscription fees) are based on the terms in effect when the listing goes live and when it renews.
    • If you cancel a subscription that is not yet effective, no early termination fee is charged for that subscription.

 

  1. Early termination fee
  • If you cancel or downgrade your yearly subscription or change from a yearly to monthly subscription before the last calendar month of your yearly subscription, you’re charged an early termination fee; if you make such changes during the last month of your subscription you’re not charged an early termination fee.
  • There’s no early termination fee for canceling a monthly subscription.
  • The early termination fee rates are calculated by dividing the (i) the product of (a) remaining months left in the subscription and (b) applicable monthly subscription fee by (ii) 3. Based on the above formula, the fee structure would be as follows:

  1. Changing your subscription

You can change your subscription at any time, including:

  • Changing your Stores subscription level
  • Changing your subscription duration

When upgrading your Stores subscription (changing your Stores subscription level to one with more benefits, or changing from a monthly subscription to a yearly subscription of the same subscription level):

  • Fees for your current subscription for the current invoice month are prorated and the unused portion of your current subscription is credited back to you. Your upgraded subscription fee is also prorated for the current invoice month and your upgraded subscription is treated as a new subscription.
  • You receive upgraded Stores benefits immediately. You receive your full allotment of free-insertion-fee listings for the new upgraded subscription immediately. Each calendar month thereafter, you receive the applicable allotment of free-insertion-fee listings.
  • Your upgraded Subscription Start Date and renewal date is reset based on the date you change your subscription.
  • An early termination fee isn’t charged if you upgrade your Stores subscription with the same or higher subscription duration.

When changing from a yearly Stores subscription to a monthly Stores subscription with more benefits:

  • Fees for your current yearly subscription for the current invoice month are prorated and the unused portion of your current subscription (for the current invoice month) is credited back to you. Your new monthly subscription fee is also prorated for the current invoice month and your subscription is treated as a new subscription. You will be charged an early termination fee for cancellation of your yearly Stores subscription.
  • Your free-insertion-fee listing allotment from the plan being canceled ends immediately. (Any unused free-insertion-fee listings from your previous subscription allotment don’t roll over.)
  • You receive the new monthly Stores benefits immediately. You receive your full allotment of free-insertion-fee listings for the new upgraded subscription immediately. Each calendar month thereafter, you receive the applicable allotment of free-insertion-fee listings.
  • Your new Subscription Start Date and renewal date is reset based on the date you change your subscription.

When downgrading your Stores subscription (changing your Stores subscription level to one with fewer benefits):

  • If you have a yearly subscription and you downgrade to a lower yearly Stores subscription level prior to the last calendar month of the subscription:
    • You’re charged an early termination fee. In addition, you’re billed at the current higher subscription fee rate for the calendar month during which you elect to downgrade.
    • You receive Stores benefits corresponding to the current higher subscription until the end of the calendar month during which you elect to downgrade.
    • Your new downgraded subscription benefits are effective immediately after the calendar month during which you elect to downgrade.
    • You’re billed at the downgraded subscription fee rate immediately after the calendar month during which you elect to downgrade.
    • If you have a yearly subscription and you downgrade to a lower yearly Stores subscription level during the last calendar month of the subscription:
      • You’re billed at the current higher subscription fee rate for the calendar month during which you elect to downgrade.
      • You receive Stores benefits corresponding to the current higher subscription until the end of the calendar month during which you elect to downgrade.
      • Your new downgraded subscription benefits are effective immediately after the calendar month during which you elect to downgrade.
      • You’re billed at the downgraded subscription fee rate immediately after the calendar month during which you elect to downgrade.
    • If you have a monthly subscription and you downgrade your Store subscription level during the Mandatory Subscription Period:
      • You’re billed at the current higher subscription fee rate for the Mandatory Subscription Period.
      • You receive the current higher subscription Stores benefits for the Mandatory Subscription Period.
      • Your new downgraded subscription benefits are effective immediately after the Mandatory Subscription Period.
      • You’re billed at downgraded subscription fee rate immediately after the Mandatory Subscription Period.
    • If you have a monthly subscription and downgrade your Store subscription level after the Mandatory Subscription Period:
      • You’re billed at the current higher subscription fee rate for the calendar month during which you elect to downgrade.
      • You receive Stores benefits corresponding to the current higher subscription until the end of the calendar month during which you elect to downgrade.
      • Your new downgraded subscription benefits are effective immediately after the calendar month during which you elect to downgrade.
      • You’re billed at the downgraded subscription fee rate immediately after the calendar month during which you elect to downgrade.

When changing from a yearly Stores subscription to a monthly Stores subscription with the same or fewer benefits:

  • The current yearly subscription is billed until the end of the current calendar month. The following calendar month, you’re billed the applicable fee for your new monthly subscription. If this change occurs prior to the last calendar month of your yearly subscription, you’re also billed an early termination fee.
  • Your free-insertion-fee listing allotment and Stores benefits for your current yearly subscription ends when the current calendar month is over. Your free-insertion-fee listing allotment and your Stores benefits for your new monthly subscription starts the following calendar month.

Notwithstanding any other provision in Section 4 or Section 6, Medicalbasket.com shall have the right to cancel or downgrade a free Stores subscription effective immediately upon such cancellation or downgrade.

  1. Fees

You agree to all fees (e.g. basic fees, optional fees, etc.) for Medicalbasket.com Stores subscribers, which are stated on our Stores fees page.

  1. Other terms
  • We may amend these Terms of Service terms at any time by posting the amended terms on www.Medicalbasket.com. Our right to amend the Terms of Service includes the right to modify, add to, or remove terms. Except as stated otherwise in our User Agreement or elsewhere, all amended terms shall automatically be effective 30 days after they are initially posted. 
  • Medicalbasket.com reserves the right to substitute, replace, or remove Stores features and functionality by providing 60 days prior notice to you through Medicalbasket.com Messages and/or by email. In addition, Medicalbasket.com may update select Stores or its Stores program generally at any time without notice, either on a temporary or permanent basis. Such update may include changes to the look and feel of the Stores or the addition of new features or functionality.
  • Medicalbasket.com reserves the right to cancel your Stores subscription at any time or decline to renew your Stores subscription if you do not meet Medicalbasket.com’s Stores subscription eligibility requirements.
  • You acknowledge and agree that Medicalbasket.com may, upon 30 days notice to you via email, change your Medicalbasket.com Stores subscription level if you don’t meet Medicalbasket.com's then-current applicable subscription requirements.  If this occurs, you're billed as described above. Such change may increase or decrease the fees you pay Medicalbasket.com Stores.
  • At any given time you can only have one active Stores subscription across all sites.
  • All terms may change at any time in accordance with our User Agreement.
  • These terms are in addition to any other applicable terms or policies on the Medicalbasket.com site.
